Terms & Conditions

These Terms & Conditions govern your use of the Distributor Portal (the "Service"), provided by MVRC Learning & Solutions ("we", "us"). By creating an account or continuing to use the Service you agree to these terms. If you are using the Service on behalf of a company, you confirm that you have authority to bind that company; if you use it as an individual, you confirm you are of legal age.

The Service

The Service is web-based software for independent distributors to manage stock, clients, orders, invoices and payment records. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with the plan you have selected. We do not guarantee that the Service will be uninterrupted, always available or free of errors.

Your account

• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
• You are responsible for the data you enter about your own clients, products and invoices, and for having the right to process it.

Acceptable use

You must not misuse the Service. In particular you must not:

• use the Service for any unlawful purpose;
• use it for fraud, spam or misleading commercial practices;
• infringe the intellectual property or privacy rights of others;
• interfere with the security or integrity of the Service, including uploading malware, probing or scanning our systems, or scraping data;
• reverse engineer the Service, resell or redistribute it, or circumvent technical limits of your plan.

Intellectual property

We retain all ownership and intellectual property rights in the Service, including its software, documentation and branding. You retain ownership of the content and data you upload, and you grant us a limited licence to host and process that content solely in order to provide the Service to you.

Fees, billing and cancellation

Paid plans are billed in advance on a monthly or yearly basis and renew automatically until cancelled. New accounts include a 30-day free trial; no card is required to start. You may cancel at any time and keep access until the end of the period you have already paid for.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are set out in Paddle's Buyer Terms, and our own money-back period is described in our Refund Policy (30 days).

Suspension and termination

We may suspend or terminate your access in the event of a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where reasonably possible we will notify you first and give you an opportunity to export your data. On termination your right to use the Service ends and we may delete your data after a reasonable export window.

Warranties and liability

To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it to be excluded.

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

Changes, law and contact

We may update these terms; material changes will be communicated in the Service or by email. These terms are governed by the laws applicable at our place of business, and disputes will be brought before the competent courts there. You may not assign these terms without our consent; we may assign them as part of a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control.
